**This Service Agreement ("Agreement") is entered into on [Date], between [Client's Name], hereinafter referred to as the "Client," and Dzenah, represented by Advanced Business Investment Holding Company, located at Abu Bakr al Siddik Street, 13316 Ar Rabi, Al Alia Plaza, hereinafter referred to as "Dzenah."**
**1. Services Provided**
Dzenah agrees to provide the Client with access to its online platform for listing and selling products in accordance with the terms and conditions outlined herein. Dzenah will provide necessary support and technical assistance to facilitate the Client's use of the platform.
**2. Account Registration and Responsibilities**
a) The Client is responsible for registering an account on the Dzenah platform. The Client agrees to provide accurate and up-to-date information during the registration process.
b) The Client is solely responsible for the content, accuracy, and legality of the products listed on the Dzenah platform. The Client will ensure that all listed products comply with applicable laws and regulations in Saudi Arabia.
**3. Fees and Payments**
a) Dzenah currently does not impose fees on the registration process for clients listing products on the platform. However, Dzenah reserves the right to introduce fees in the future, and the Client will be duly informed of any such changes.
**4. Intellectual Property**
a) The Client retains all rights to their intellectual property, including product images, trademarks, and descriptions. The Client grants Dzenah a non-exclusive, royalty-free license to use the intellectual property for the purpose of marketing and promoting the Client's products on the Dzenah platform.
**5. Termination**
a) Either party may terminate this Agreement with a written notice if the other party breaches any material term or condition of this Agreement. Upon termination, the Client shall remove all listed products from the Dzenah platform.
**6. Confidentiality**
a) Both parties agree to keep confidential any proprietary or sensitive information shared during the course of this Agreement.
**7. Governing Law and Jurisdiction**
a) This Agreement shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, without regard to its conflict of law principles. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in Saudi Arabia.
